User Agreement

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to this Agreement.

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

We reserve the right to refuse service, suspend or terminate accounts, or remove content at our sole discretion, including for violation of this Agreement or for any other reason we deem appropriate.

What I Sell is an online marketplace and platform that enables users to list, browse, and transact for items and services. Sellers may create listings for products or services they wish to offer; buyers may view listings, contact sellers, and arrange transactions. The Service may include messaging tools, profile pages, review systems, and a credit-based system for listing and promotional features.

We act as an intermediary platform. We do not take ownership of items or services listed, and we are not a party to transactions between users. Any contract for sale or service is solely between the seller and the buyer. We do not guarantee the quality, safety, legality, or accuracy of listings or the conduct of users.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

The Service uses a credit system for listing items and services. Credits are consumed when you create or renew listings according to the then-current pricing and rules displayed in the Service. Credit packages and per-listing costs may vary and are subject to change at any time without prior notice. The price applicable to your purchase is the price displayed at the time you complete the transaction.

All fees and payments are in the currency displayed (e.g., Philippine Peso or other local currency). Payment processing may be handled by third-party providers; by making a payment, you agree to their terms and conditions. You are responsible for any taxes applicable to your use of the Service or your transactions.

Credits are generally non-refundable except as required by law or as expressly stated in our refund policy. We may, at our discretion, issue refunds or credit adjustments in cases of technical errors, duplicate charges, or other exceptional circumstances. Promotional or free credits may be subject to additional terms and may expire.

Sellers are solely responsible for the accuracy, legality, and completeness of their listings. You represent and warrant that you have the right to list the items or services offered, that listings do not infringe any third-party rights, and that they comply with all applicable laws and regulations.

You may not list items or services that are prohibited by law or by our policies, including but not limited to: counterfeit or stolen goods, illegal substances, weapons, hazardous materials, items that infringe intellectual property rights, or content that is defamatory, obscene, or otherwise objectionable. We reserve the right to remove any listing without notice and to take action against accounts that violate these rules.

Listings may be subject to visibility rules (e.g., "for today" or "until sold"). You are responsible for understanding and complying with the listing rules in effect at the time you create or renew a listing. We do not guarantee any minimum level of views, clicks, or transactions.

All transactions are conducted solely between the buyer and the seller. We are not a party to any transaction and do not transfer legal ownership of items from seller to buyer. You are responsible for your own due diligence, communication, payment, and delivery or performance of services outside the platform as agreed with the other user.

Disputes between users (e.g., over payment, delivery, or quality) are the responsibility of the users involved. We may, but are not obligated to, assist in resolving disputes or provide tools to facilitate communication. Our liability in connection with user-to-user transactions is limited as set forth in the Limitation of Liability section below.

The Service may provide messaging or communication tools for users to contact each other. You agree to use these tools only for lawful purposes and in connection with legitimate marketplace activity. You may not use messaging to harass, spam, defraud, or otherwise harm other users. We may monitor or review messages for quality, safety, and compliance purposes, but we are not obligated to do so.

By using the Service, you consent to receive transactional and service-related communications from us (e.g., account notifications, security alerts). You may also receive marketing communications if you have opted in; you may opt out at any time through your account settings or by following the instructions in those communications.

Users may be able to leave reviews or ratings for sellers or for the platform. You agree to provide honest, non-defamatory reviews based on your actual experience. We may allow sellers to contest or respond to reviews in accordance with our review policies. We reserve the right to remove or modify reviews that violate our policies or applicable law.

You agree not to engage in conduct that is harmful, abusive, fraudulent, or in violation of this Agreement or applicable law. This includes, but is not limited to: creating fake accounts, manipulating reviews or metrics, circumventing fees or security measures, or using the Service for any illegal or unauthorized purpose. We may suspend or terminate accounts and take legal action as we deem appropriate.

The Service, including its design, text, graphics, logos, and software, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service or any part of it without our prior written consent.

You retain ownership of content you submit (e.g., listing text, images). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Service. You represent that you have the right to grant this license and that your content does not infringe any third-party rights.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WE DO NOT GUARANTEE THE ACCURACY, QUALITY, OR LEGALITY OF LISTINGS, USER CONTENT, OR USER CONDUCT. YOU USE THE SERVICE AND RELY ON ANY CONTENT AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR TRANSACTIONS BETWEEN USERS OR FOR ANY LOSS OR HARM ARISING FROM YOUR USE OF THE SERVICE OR INTERACTION WITH OTHER USERS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THIS AGREEMENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED (100) IN LOCAL CURRENCY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your content, listings, or conduct; (c) your violation of this Agreement or any applicable law; or (d) any dispute between you and another user. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your account or your access to the Service at any time, with or without cause or notice, including for violation of this Agreement.

Upon termination, your right to use the Service ceases immediately. Provisions of this Agreement that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) shall survive.

We may modify this Agreement from time to time. We will notify you of material changes by posting the updated Agreement on the Service and updating the "Last updated" date. Your continued use of the Service after the effective date of changes constitutes your acceptance of the revised Agreement. If you do not agree to the changes, you must stop using the Service and may close your account.

This Agreement, together with our Privacy Policy and any other policies we publish on the Service, constitutes the entire agreement between you and us regarding the Service and supersedes any prior agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

This Agreement is governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any dispute arising out of or related to this Agreement or the Service shall be resolved in the courts of that jurisdiction, and you consent to the personal jurisdiction of such courts.
